Provision of company secretary
Section 171 of the Companies Act requires all companies incorporated in Singapore to appoint a company secretary who must be a resident of Singapore within 6 month of its incorporation. The position of secretary must not be left vacant for more than 6 months at any one time.
If the company has only one director, he cannot act as a company secretary. However if the company has more than one director, one of the directors can also act as company secretary. Private limited companies need not appoint a professionally qualified secretary. However, a secretary must nevertheless be appointed. Only public companies must appoint a professionally qualified secretary, examples of professionally qualified secretaries include lawyers, accountants, and chartered secretaries.
